Due to increasing activity, our client is looking to hire a Senior Corporate Officer / Paralegal to join their small and collegiate team in their city office.
The business is keen to maintain a strong sense of team spirit and professional support, so the team is primarily office-based with occasional homeworking available. Professionalism, accountability, responsibility and technical capability will be critical to your success in this friendly English speaking office, along with your legal background and current Company Secretary / corporate legal officer / paralegal experience. This is a full time role but the client will also consider candidates who wish to work 5 shorter days, subject to transactions (part time at 80%).
In this role you will:
• Demonstrate a thorough understanding of the corporate formalities involved in managing corporate entities and work with the Company Secretary on all governance and corporate administration matters
• Manage the corporate lifecycle from A-Z, managing all matters relevant to corporate governance and maintaining high standards in documentation such as powers of attorney, authorised signatures, etc.
• Assist with the management of transactions (approvals for investment / divestment transactions) alongside the investment management team, being hands-on, accountable and able to deliver to deadline
• Provide Board support, from arranging and coordinating Board meetings, providing Board support, preparing Board materials using Board Intelligence, taking minutes, ensuring quality documentation, etc.
• Managing director contracts, logistics, personal files, etc.
• Manage corporate filings with the RCS, as necessary.
• Liaise with third parties such as notaries, law firms, accountants, auditors, etc. and provide answers to queries
• Work on ad hoc projects
• Work in English, including the highest of written standards

Candidate Requirements

To be considered for this role you will:
• Be happy to work in a small office environment
• Have at least 4 years’ prior experience, with some ideally in-house
• Hold a legal background, ideally with legal education, but if not, with significant relevant expertise
• Speak and write in fluent English
• Be a solid team player with a sense of professional responsibility
